Terms of Service

1. Company
Ragencia SAS, a French SAS (Société par Actions Simplifiée) registered under SIREN 941 070 492, RCS Nice, with registered office at 35 Rue Pastorelli, 06000 Nice, France (“Ragencia”, “we”, “us”). Contact: developer@ragencia.com.
These Terms of Service (“Terms”) govern access to and use of Resavoice, a voice-AI phone booking assistant operated by Ragencia, by hotels and hospitality businesses (“Customer”, “you”) that subscribe to the service.
2. The service
Resavoice answers a Customer’s incoming phone calls with an AI voice agent, retrieves live availability and pricing from the Customer’s property management system (“PMS”), and can create reservations directly in the PMS on the Customer’s behalf, subject to the Customer’s own configuration and the technical constraints of the connected PMS.
Ragencia is a technology intermediary. Ragencia does not itself provide hotel accommodation, set room rates, or act as merchant of record for bookings; all reservations and their commercial terms are governed by the Customer’s own policies and PMS.
3. Subscription, pricing and payment
The service is offered under the plans published at resavoice.com (Essential, Premium, and Custom for high-volume properties), or as otherwise agreed in a signed order form. Published subscription prices are monthly, exclusive of VAT, and may include a one-time setup fee. Custom-tier pricing is agreed individually.
Consistent with the “no commitment” terms advertised on our pricing page, Essential and Premium subscriptions have no minimum term. Subscriptions renew automatically each month unless cancelled by the Customer at any time, effective at the end of the then-current billing period; fees already invoiced for the current period are not refunded. Custom-tier terms follow the applicable signed order form.
Ragencia may revise pricing on renewal with at least 30 days’ prior notice.
4. Customer responsibilities
The Customer is responsible for the accuracy of the information it provides to configure the service (room types, rates, policies, extras) and for keeping its PMS connection credentials valid, and for verifying that its use of the service, and any reservation created by it, complies with the Customer’s own contractual and regulatory obligations (consumer protection, cancellation policy disclosure, applicable tourist tax, etc.). The Customer must promptly notify Ragencia of any known misconfiguration, security issue, or suspected fraudulent use.
5. Data protection
Ragencia processes call recordings, transcripts, and guest personal data (name, phone number, email, stay details) as a data processor acting on the Customer’s instructions, for the sole purpose of operating the service, for as long as reasonably necessary for that purpose or as required by applicable law. A Data Processing Agreement (DPA), compliant with the GDPR, is available on request and forms part of these Terms where executed. Ragencia does not sell guest personal data and does not use it for purposes other than operating and improving the service for the Customer. See our Privacy Policy for further detail.
6. Third-party integrations
The service connects to third-party systems the Customer chooses to integrate (including, but not limited to, PMS providers such as Mews, payment processors, and messaging providers). Ragencia is not responsible for the availability, accuracy, or acts or omissions of these third-party systems, though Ragencia will use reasonable efforts to maintain a working integration.
7. Availability and support
Ragencia uses commercially reasonable efforts to maintain the availability of the core call-answering service, excluding scheduled maintenance (notified in advance where practical) and outages caused by third-party providers (telephony carriers, PMS, cloud infrastructure). Support is available by email at developer@ragencia.com during French business hours (CET).
8. Liability
To the extent permitted by law, Ragencia’s total liability arising out of or in connection with the service is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. Ragencia is not liable for indirect or consequential loss, including loss of bookings, revenue, or reputation, except in cases of gross negligence or wilful misconduct. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under French law.
9. Term and termination
These Terms apply for as long as the Customer maintains an active subscription. Either party may terminate for material breach not remedied within 30 days of written notice. On termination, Ragencia will, on request, provide the Customer a reasonable window to export its data before deletion.
10. Governing law and jurisdiction
These Terms are governed by French law. Any dispute not resolved amicably will be submitted to the competent courts of Nice, France, without prejudice to any mandatory consumer-protection rules applicable in the Customer’s own jurisdiction.
11. Changes to these Terms
Ragencia may update these Terms from time to time. Material changes will be notified to active Customers at least 30 days before taking effect. Continued use of the service after that date constitutes acceptance.
